1. Acceptance of Terms

By downloading, installing, or using the Virtues iOS application (“the App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and Virtues regarding your use of the App. You must be at least 17 years old to use this App.

2. Description of Service

What Virtues Is

Virtues is a personal data ecosystem that enables continuous collection of your:

• Location data (GPS coordinates every 10 seconds)
• Health and fitness metrics (from Apple Health)
• Audio recordings (30-second segments for transcription)

Self-Hosted Architecture

• You Provide the Infrastructure: The App requires you to operate your own server
• Direct Transmission: Data is sent directly from your device to your server
• No Cloud Service: We do not provide cloud storage or processing
• Technical Requirements: You must maintain an API endpoint and server infrastructure

3. Your Responsibilities

Server Infrastructure

You are responsible for:

• Setting up and maintaining your own server infrastructure
• Configuring secure API endpoints for data reception
• Implementing appropriate data storage and backup solutions
• Ensuring your server can handle continuous data streams
• Complying with all applicable data protection laws

Technical Competency

By using the App, you acknowledge that you:

• Understand self-hosted infrastructure requirements
• Can configure and maintain server endpoints
• Accept responsibility for your data security
• Will properly secure API keys and authentication tokens

Accurate Information

You agree to:

• Provide accurate server endpoint URLs
• Maintain valid API authentication credentials
• Keep your server accessible for data uploads
• Monitor your infrastructure for proper operation

4. Privacy and Data Collection

Your Data, Your Control

• All data is transmitted to YOUR specified server
• We do not store, access, or process your personal data
• You maintain complete ownership of your data
• Data deletion must be performed on your infrastructure

Permissions Required

The App requires the following iOS permissions to function:

• Location Services (Always): For continuous location tracking
• HealthKit Access: For health and fitness data
• Microphone Access: For audio recording
• Background App Refresh: For continuous operation

Consent and Authorization

By using the App, you:

• Consent to continuous data collection when enabled
• Authorize transmission to your configured endpoint
• Accept responsibility for data handling on your server
• Understand that disabling permissions limits functionality

5. Acceptable Use

Permitted Uses

You may use the App to:

• Collect your personal data for private use
• Build a personal data archive on your infrastructure
• Analyze your own behavioral patterns
• Create personal insights from collected data

Prohibited Uses

You may NOT:

• Use the App to collect data from others without consent
• Configure endpoints to third-party services without authorization
• Attempt to reverse engineer or modify the App
• Use the App for any illegal purposes
• Violate any applicable laws or regulations
• Circumvent any security features or limitations

6. Intellectual Property

App Ownership

• The App and its original content remain the property of Virtues
• The source code is available under the open-source license specified in the repository
• You retain all rights to your personal data

Open Source Components

• The App incorporates open-source software
• Third-party licenses are available in the app documentation
• You must comply with all applicable open-source licenses

Your Content

• You own all data collected by the App
• You grant no rights to us regarding your personal data
• We claim no ownership over data you collect

7. Disclaimers

No Warranty

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF DATA

Technical Limitations

We do not guarantee:

• Continuous or uninterrupted data collection
• Accuracy of GPS, health, or audio data
• Successful transmission to your server
• Compatibility with all iOS devices or versions
• Protection against data loss or corruption

Third-Party Dependencies

• The App relies on iOS services (HealthKit, Core Location, etc.)
• We are not responsible for changes to iOS that affect functionality
• Apple’s services may limit or restrict data access
• Network connectivity is required for data upload

8. Limitations of Liability

Maximum Extent Permitted by Law

IN NO EVENT SHALL VIRTUES BE LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Lost profits or lost data
• Server infrastructure costs or failures
• Inability to collect or transmit data
• Any damages exceeding $100 USD

Your Assumption of Risk

You acknowledge and agree that:

• You assume all risks associated with data collection
• You are responsible for your server security
• Battery drain and data usage are expected
• Background processing may be limited by iOS

9. Indemnification

You agree to indemnify, defend, and hold harmless Virtues from any claims, damages, losses, liabilities, costs, and expenses arising from:

• Your use or misuse of the App
• Your violation of these Terms
• Your violation of any rights of another party
• Your server infrastructure or data handling
• Any data breach on your infrastructure

10. Medical Disclaimer

Not Medical Advice

• The App is NOT a medical device
• Health data is for informational purposes only
• Do not use for medical diagnosis or treatment
• Consult healthcare professionals for medical advice

Accuracy Limitations

• Health data accuracy depends on Apple Health
• We make no claims about health data accuracy
• Do not rely solely on app data for health decisions

11. Termination

Your Right to Terminate

You may stop using the App at any time by:

• Deleting the App from your device
• Revoking iOS permissions
• Disabling data collection in settings

Our Right to Terminate

We may terminate or suspend your access to the App for:

• Violation of these Terms
• Illegal or harmful use
• Technical or security reasons
• Discontinuation of the App

Effect of Termination

Upon termination:

• You must stop using the App
• Local cached data may persist until manually deleted
• Data on your server remains under your control
• These Terms survive to the extent necessary

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective when:

• Posted in the App or on our website
• Included in App Store update notes
• You continue using the App after notification

Your continued use constitutes acceptance of modified Terms.

13. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

14. Dispute Resolution

Informal Resolution

Before filing any legal claim, you agree to try to resolve disputes informally by contacting us at legal@virtues.com.

Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

Class Action Waiver

You agree to resolve disputes only on an individual basis and waive any right to class action proceedings.

15. General Provisions

Entire Agreement

These Terms constitute the entire agreement between you and Virtues regarding the App.

Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

No Waiver

Our failure to enforce any right or provision is not a waiver of that right.

Assignment

You may not assign these Terms without our consent. We may assign our rights to any successor.

Force Majeure

Neither party is liable for failure to perform due to causes beyond reasonable control.

16. Battery and Data Usage

By using the App, you acknowledge:

• Continuous tracking increases battery consumption (10-15% additional daily drain)
• Background location and audio recording require significant power
• Data uploads consume mobile data (approximately 50-100MB/day)
• You are responsible for any carrier data charges

17. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations, including:

• U.S. Export Administration Regulations
• International Traffic in Arms Regulations
• Economic sanctions programs

19. iOS-Specific Terms

App Store Additional Terms

These Terms supplement (not replace) any terms required by Apple’s App Store. In case of conflict, App Store terms prevail for App Store-related matters.

iOS Updates

• We are not responsible for iOS updates that affect functionality
• You may need to update the App for compatibility
• Some features may become unavailable due to iOS changes

20. Acknowledgment

BY USING THE APP, YOU ACKNOWLEDGE THAT:

• You have read and understood these Terms
• You agree to be bound by these Terms and our Privacy Policy
• You are technically capable of operating self-hosted infrastructure
• You accept all risks associated with continuous data collection
• You will comply with all applicable laws and regulations
